Management Board of UMT AG resolves to issue a 7 % convertible bond in the amount of up to EUR 960,000

Based on the authorizing resolution of the Annual General Meeting on December 5, 2023, the Management Board of UMT United Mobility Technology AG (“UMT AG”, Securities identification number WKN: A2YN70, ISIN: DE000A2YN702) resolved today with the approval of the Supervisory Board, to issue a convertible bond with a total nominal value of up to EUR 960,000.00, divided into up to 960,000 bearer bonds with equal rights and a nominal value of EUR 1.00 each (“Convertible Bond 2024/2027, ISIN DE000A3829V2”).

The shareholders of UMT AG will be granted an indirect subscription right at a ratio of 11:2, i.e. eleven shares in the company entitle the holder to subscribe to two bonds at an issue price of 100 % of the nominal amount per bond (corresponding to 1.00 Euro). The subscription period will run from July 17, 2024 up to and including July 31, 2024. Oversubscription is possible.

The term of the convertible bond begins on August 5, 2024 and ends on August 4, 2027. The bonds will bear interest at a rate of 7.00 % p.a.

Subject to adjustment in accordance with Section 10 of the bond conditions, the conversion price per new share is EUR 1.00. The conversion ratio is calculated by dividing the nominal amount of a bond by the conversion price applicable on the exercise date. The conversion ratio is 1:1, subject to adjustment in accordance with Section 10 of the bond conditions.
